Registered trademarks may be assigned to other persons even without transfer of the business. An assignment is necessary only if there is a change in the legal entity. Spin-offs or mergers of corporations, which are owners of a trademark, require an assignment. The registration of the assignment does not have constitutive effect, however, for the purposes of having effect towards third parties, registration is necessary. In case the transfer has not been registered with the Patent Office, the agreement on transfer shall not be deemed null and void and shall still have effect inter partes.
