Ukrainian law has no concept of cross-border mergers and does not stipulate a possibility or procedure to execute a merger between a Ukrainian and a foreign company. Moreover, the Ukrainian law that regulates domestic mergers is also rather underdeveloped. The first regulations that facilitated national mergers to a certain degree were developed in the early 1990s after the laws „On Enterprises in Ukraine“, „On Entrepreneurial Activities“ and „On Commercial Companies“ had been enacted. Those laws, which were among the first to regulate private business in Ukraine after the collapse of the Soviet Union, set out only the basic principles of executing mergers in Ukraine. Merger procedures were developed in a number of regulations approved by the Cabinet of Ministers of Ukraine, the National Bank of Ukraine and the State Securities and Stock Market Commission of Ukraine SSSMC.
