Cross-border mergers are regulated in various sections of the Commercial Code: (i) general provisions regarding cross-border mergers are set out in Section 69aa, which applies to all legal forms of companies; (ii) the provisions regarding limited liability companies are contained in Section 152a; and (iii) stock corporations are covered by Section 218a-218k.
