Registered trademarks may be assigned to other persons even without transfer of business. An assignment is only necessary if there is a change in the legal entity. Spin-offs or mergers of corporations which are owners of trademarks require an assignment. The registration of the assignment is not constitutive for the transfer of property in the trademark, but for publicity reasons and easier evidence the registration is strongly recommended.
