A provision requiring or authorising a thing to be done by or to a director and the secretary of a company is not satisfied by its being done by or to the same person acting both as director and as, or in place of, the secretary.
Da ein Direktor auch secretary sein kann, wird in sec 280 klargestellt, dass die Ausführung desselben Akts durch eine Person (einmal in der Funktion des Direktors und einmal in der Funktion des secretary) nicht ausreicht, soweit ein Erfordernis (etwa in der Satzung) besteht, wonach die entsprechende Handlung durch beide zu setzen ist.
