5.1 Report of the management
The directors of companies operating under a one-tier management system and/or the members of the management board of companies operating under a two-tier management system of each of the merging companies must draft a written and detailed report on the proposed cross-border merger explaining the common draft terms thereof and justifying its legal and economical grounds.
