The law of the EU member state with jurisdiction over the absorbing company determines the date on which the cross-border merger takes legal effect. If the absorbing company has its registered seat in Hungary, the cross-border merger is legally effective from the date of registration of the merger in the Court of Registry. However, the company may specify the exact date of the merger and the merger then takes effect as of this date instead of the date of registration. The date specified by the company may not be later than the 90th day following the date of submission of the application to the Court of Registry, and cannot precede the date of registration of the merger.
