In the Czech Republic, the Directive has been implemented by the Act on the Transformation of Companies and Cooperative Societies No. 125/2008 Coll. (the Act). The Act came into force on July 1, 2008. The Act regulates all types of transformations, including domestic transformations. According to the Act, cross-border mergers are permitted for limited liability companies and partnerships. Limited liability companies comprise stock corporations (akciová spolecnost, or a.s.) and companies with limited liability (spolecnost s rucením omezeným, s.r.o. or spol. s r.o.). The agenda of cross-border mergers of partnerships is not regulated by the Directive and is therefore not pursued further in this publication.
