5.1 Report of the management
The management board of each of the merging companies must draw up a written report on the merger. The report must explain in detail and justify the legal and economic aspects of the common draft terms, in particular the share-exchange ratio, as well as the impact of the merger on the position of the shareholders, creditors and employees.
