The idea of publishing this book originated from a project for a client that required advice on merging group companies across a number of jurisdictions where WOLF THEISS has offices. Most cross-border mergers to date have involved only two jurisdictions. That in itself is still a challenge to implement in practice. However, a project involving the merger of companies in multiple jurisdictions materially increases the complexity of issues that have to be dealt with. In the course of our work on this project, we realized that there is a need for a publication that systematically addresses the issue of cross-border mergers across a number of jurisdictions. We have focused on the CEE/SEE region, which is of importance for many investors from around the world as they set up operations in these countries.
