A share purchase is the most frequently used structure for acquiring a company in Albania. The acquisition typically includes two main steps: (i) execution of a purchase agreement, with completion most often subject to the satisfaction of certain conditions precedent; and (ii) following satisfaction of the conditions precedent, issuance of a deed of transfer, which is then registered with the company's share registry and the commercial registry held by the National Registration Centre.
