In Austria, the Directive has been implemented by the EU Merger Act (EU-Verschmelzungsgesetz, abbreviated EU-VerschG, BGBl. I Nr. 72/2007 (the Act)). The Act came into force on December 15, 2007. According to the Act, a limited liability company, as defined in the Act, is either an Austrian stock corporation (Aktiengesellschaft, AG) or a company with limited liability (Gesellschaft mit beschränkter Haftung, GmbH). In terms of the procedure and formalities of a crossborder merger, the Act is supplemented by those national rules that would apply to a national merger, if and to the extent the Act does not contain specific rules.
