Directive 2005/56/EC on cross-border mergers of limited liability companies (the Directive) has been implemented into Romanian law through Emergency Ordinance no. 52 which was adopted by the Romanian Government on 21 April 2008 and became effective as of 30 April 2008. The Ordinance was approved by the Romanian Parliament by Law no. 284/2008, published in the Official Gazette on 20 November 2008. The Ordinance amended and supplemented the provisions of Law no. 31/1990 on commercial companies (the Company Law), and Law no. 26/1990 on Trade Registry.
